Question:

What do the costs of the issue of the C-series shares, as published in Current Report No. 30/2017 dated 3 August 2017, drawn up in accordance with the Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state, include?

Answer:

The Management Board of Getin Holding S.A. (Issuer) acting under the procedure provided for in Art. 428(6) of the Code of Commercial Companies and Partnerships, in response to the Shareholder’s inquiry “What do the costs of the issue of the C-series shares, as published in Current Report No. 30/2017 dated 3 August 2017, drawn up in accordance with the Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state, include?", hereby represents that the total costs of the issue of the C-series shares included costs of preparing and carrying out the offer and the issue of the C-series shares, comprising among others costs of preparing and carrying out the General Meeting of Shareholders and the issue of the C-series shares, costs of consultancy, legal services, as well as costs related to drawing up documentation and registration of the increase of the share capital, as well as remuneration for offering shares in Getin Holding S.A., tax on civil law transactions. In the Issuer’s opinion the costs incurred by the Company do not differ from market prices for such operations.
